Corporate Finance Associate – Investment Funds sector

My client is a small/mid cap UK Investment Bank, focused on advising companies in the UK public markets space - both the AIM and the Main Market. They have a City-renowned Investment Funds team, and due to continued growth they are looking to hire a corporate finance associate into the team.

What is the opportunity?

What will you do?

• To support and assist senior executive staff with client account and transaction workload.
• Support senior executive staff in the running of client accounts on a day-to-day basis as well as providing a support role in transaction management and execution.
• Financial analysis including; preparation of detailed, integrated financial models, sensitivity analysis, capital/funding structures
• Assistance with co-ordination and project management of corporate transactions including, but not limited to, drafting, proofing and production of shareholder circulars, prospectuses and information memoranda as well as other related documentation, collation of placing confirmation and account reconciliation’s, liaison with settlement and back office, production of transaction files and other client files
• Assist other team members with liaison with UKLA/The London Stock Exchange/AIM Regulation/the Panel on Takeovers & Mergers with regard to client issues, continuing obligations (Model Code), assisting with clearance of shareholder circulars
• Assistance with preparation of presentations for marketing and other purposes
• Client account day-to-day administration e.g. preparation of routine regulatory announcements, dealing with routine matters on continuing obligations
• Routine client liaison – ensuring incoming communications from clients/other advisers are transferred to appropriate team member for actioning and relaying market/price developments
• To understand and adhere to all relevant compliance and legal rules and regulations in relation to this role

M&A Associate – Tech Team

The Firm:

Key responsibilities:

Support the execution of technology and software M&A mandates and the origination of new business development leads. Other responsibilities in supporting the execution of active investment banking engagements will include:

• Preparing, analysing and explaining companies historical and projected financial information and business plans
• Coordinating and performing business due diligence
• Preparing marketing materials e.g. management presentations, marketing pitches, and other presentations
• Valuing companies and businesses
• Assisting in the marketing and planning of M&A engagements
• Coordinating and conducting business due diligence
• Supervising and coaching junior staff members in the completion of presentations, research and financial analyses, ensuring their development according to team and firm standards

Qualifications:

• Must have at least 4- 5 years of M&A deal execution experience from an Investment Bank, Boutique Advisory Firm or from Big 4 Corporate Finance/ M&A Team.
• Proven track record of M&A transaction experience with mid-market Technology companies
• Demonstrable knowledge of M&A processes
• Financial acumen and ability to value Technology companies based on their financial profile, strategic relevance, technology attractiveness and end market attractiveness
• Aptitude for financial analysis, interpretation and presentation in marketing materials
• Able to work in complex situations and deliver results.
• Problem solving aptitude
• Able to manage multiple engagements and shifting priorities
